支付和解除

如果因已根据第19.2款［不可抗力的通知］的规定发出通知的不可抗力，使基本上全部进展中的工程实施受到阻碍已连续84天，或由于同一通知的不可抗力断续阻碍几个期间累计140天，任一方可以向他方发出终止合同的通知。在此情况下，终止应在该通知发出7天后生效，承包商应按照第16.3款［停止工作和承包商设备的撤离］的规定进行。

在此类终止的情况下，雇主应向承包商支付：

（a） 已完成的、合同中有价格规定的任何工作的应付金额；

（b） 为工程订购的、已交付给承包商或承包商有责任接受交付的生产设备和材料的费用；当雇主支付上述费用后，此项生产设备与材料应成为雇主的财产（风险也由其承担），承包商应将其交由雇主处理；

（c） 在承包商原预期要完成工程的情况下，合理的任何其他费用或债务；

（d） 将临时工程和承包商设备撤离现场、并运回承包商本国工作地点的费用，（或运往任何其他目的地，但其费用不得超过）；

（e） 将终止日期时的完全为工程雇用的承包商的员工遣返回国的费用。

If the execution of substantially all the Works in progress is prevented for a continuous period of 84 days by reason of Force Majeure of which notice has been given under Sub-Clause 19.2[Notice of Force Majeure], or for multiple periods which total more than 140 days due to the same notified Force Majeure, then either Party may give to the other Party a notice of termination of the Contract. In this event, the termination shall take effect 7 days after the notice is given, and the Contractor shall proceed in accordance with Sub-Clause 16.3 [ Cessation of Work and Removal of Contractor’s Equipment].

Upon such termination, the Employer shall pay to the Contractor.

(a) the amounts payable for any work carried out for which a price is stated in the Contract;

(b) the Cost of Plant and Materials ordered for the Works which have been delivered to the Contractor, or of which the Contractor is liable to accept delivery: this Plant and Materials shall become the property of (and be at the risk of ) the Employer when paid for by the Employer, and the Contractor shall place the same at the Employer’s disposal;

(c) any other Cost or liability which in the circumstances was reasonably incurred by the Contractor in the expectation of completing the Works;

(d) the Cost of removal of Temporary Works and Contractor’s Equipment from the Site and the return of these items to the Contractor’s works in his country (or to any other destination at no greater cost); and

(e) the Cost of repatriation of the Contractor’s staff and labour employed wholly in connection with the Works at the date of termination.
